Rather than concentrating capital with a single originator, Cadi allocates across multiple financing providers. The portfolio is held in a dedicated special purpose vehicle (SPV), into which the receivables are transferred and held separately from the operating businesses of Cadi and its funding partners. Cadi acts as sponsor and manager and maintains ongoing oversight of the portfolio, while its funding partners operate and service each transaction.

ASSET ISOLATION

Cadi does not rely on a third-party trustee. The portfolio is instead held in a dedicated special purpose vehicle (SPV), into which the receivables are transferred. The structure is designed to hold the portfolio separately from the operating businesses of Cadi and of any individual funding partner.
The SPV is a limited-purpose entity, designed with separateness measures and restrictions on incurring unrelated indebtedness. The intent of the structure is to keep the portfolio’s cash flows dedicated to the SPV and its investors. How the structure is treated in any particular circumstance depends on the governing documents and applicable law.

ROLES AND STRUCTURE
Who does what, and what Cadi keeps.
Special purpose vehicle (SPV)
A dedicated SPV holds the portfolio and conducts the Regulation D offering to accredited investors. Receivables are transferred into the SPV, which is designed to hold the portfolio separately from the operating businesses of any single funder and of Cadi.
Investment manager
Cadi International Capital sponsors and manages the SPV, sources funding partners, performs independent portfolio analysis, and monitors the receivables on an ongoing basis. Cadi maintains oversight and control rights with respect to the portfolio held by the SPV.
Funding partners
Experienced originators across the United States and Canada that generate the receivables and retain meaningful economic exposure alongside Cadi. Cadi shares in each deal and expects its funding partners to operate and service it day to day.
Servicing and operations
Under a delegated servicing and operations framework, Cadi appoints its servicer and funding partners as contractual agents for day-to-day execution: collections and remittance, legal and recovery functions, and origination and marketing. The delegation transfers the performance of these functions, not ownership. Cadi retains full legal and beneficial ownership of the receivables held by the SPV, together with all governance and control rights over the firm and its equity, none of which are assigned, encumbered, or diluted by the arrangement. The partners act as agents within defined authority; principal ownership and control remain exclusively with Cadi.
Regulatory basis
Cadi conducts its capital raising in compliance with applicable U.S. securities laws, relying on an available exemption under Regulation D. The firm is structured to meet the eligibility, verification, and disclosure requirements applicable to each category of accredited investor it serves, including family offices, institutional partners, and qualified individuals.
