The firm performs independent portfolio analysis and ongoing monitoring while partnering with experienced originators that maintain meaningful economic exposure alongside Cadi. Cadi maintains control rights over each deal and shares in its economics, while its funding partners operate and service each transaction. We maintain live, around-the-clock visibility into every deal across all funding partners.

Rather than concentrating capital with a single originator, Cadi allocates across multiple financing providers. The portfolio is held in a dedicated special purpose vehicle (SPV), into which the receivables are transferred and held separately from the operating businesses of Cadi and its funding partners. Cadi acts as sponsor and manager and maintains ongoing oversight of the portfolio, while its funding partners operate and service each transaction.

Roles and structure

Who does what, and what Cadi keeps.
A dedicated SPV holds the portfolio and conducts the Regulation D offering to accredited investors. Receivables are transferred into the SPV, which is designed to hold the portfolio separately from the operating businesses of any single funder and of Cadi.

Special purpose vehicle (SPV)

Cadi International Capital sponsors and manages the SPV, sources funding partners, performs independent portfolio analysis, and monitors the receivables on an ongoing basis. Cadi maintains oversight and control rights with respect to the portfolio held by the SPV.

Investment manager

Experienced originators across the United States and Canada that generate the receivables and retain meaningful economic exposure alongside Cadi. Cadi shares in each deal and expects its funding partners to operate and service it day to day.

Funding partners

Cadi conducts its capital raising in compliance with applicable U.S. securities laws, relying on an available exemption under Regulation D. The firm is structured to meet the eligibility, verification, and disclosure requirements applicable to each category of accredited investor it serves, including family offices, institutional partners, and qualified individuals.
